Prior to her retirement as a partner in Hughes Hubbard's Corporate Department, Ellen S. Friedenberg was co-chair of the firm's Mergers & Acquisitions (M&A) practice group and Corporate Governance practice group. For more than 30 years, she represented clients in a full spectrum of M&A transactions—public and private, domestic and international, friendly and hostile. The breadth of her practice included negotiated acquisitions and dispositions; hostile matters including tender offers, takeover defenses and proxy fights; going private transactions and other restructuring transactions; and joint ventures and other complex deals. Ellen also regularly counseled clients on fiduciary duty and governance matters.
